Terms & Conditions

Fees for service

  • This document is an estimate only; a cost overrun of a maximum 10% shall be accepted by the Client.
  • It is agreed that the fee for service shall be the cost estimates provided to and agreed upon by the Client, with further estimates drawn up as necessary to facilitate amendments.
  • The Client will only be invoiced for hours spent on the project; any surplus hours will not be invoiced.
    Project Guidelines
  • If Bespoke Presentations Ltd requires consultation with the Client to continue work on the project, the project cannot progress until such time.
  • If at any time or for any reason Bespoke Presentations Ltd believes that this project in part or in whole will exceed the cost estimate accepted by the Client, Bespoke Presentations Ltd reserves the right to cease all work on this project pending consultation with the Client.
 

Travel

It is agreed that the Client will cover all costs incurred through travel outside of Wakefield in the course of approved work undertaken by Bespoke Presentations Ltd on behalf of the Client. This includes all fares, taxis, meals and accommodation costs and motor vehicle travel paid at 35 pence per mile.
 

Liability regarding work and materials provided

It is agreed that all work and materials provided for the Client by Bespoke Presentations Ltd will be free and clear of all liens and encumbrances and may be lawfully used by the Client without infringing upon the rights of others including, and without limiting the generality of the foregoing, any copyright, trade secret, patent or trademark rights of any third party.
 

Copyright

Artists/programmers are automatically assigned full copyright upon the creation of work. The Client is given copyright of (or licence to use) the finished product (eg web site, presentation, publication) upon final payment for a project. This can include graphics files, HTML files and exported animation files. Bespoke Presentations Ltd retains copyright of works made especially for the creation of such a product. This can include original artwork files for various computer applications (eg Flash, Illustrator, Fireworks, Photoshop, Dreamweaver), as well as any programming code (eg Javascript, ASP, VBScript, Java and compiled binaries).
 

Confidentiality

It is agreed that employees of Bespoke Presentations Ltd shall not at any time either during the continuance of the work outlined or thereafter, except in the course of their duties, divulge any of the confidential affairs of the Client or any of its clients or associated companies to anyone whatsoever without the previous consent in writing of the Client. In turn, it is agreed that the Client shall not divulge the contents of any confidential documents provided to the Client by Bespoke Presentations Ltd.
 

Amendments to these terms and conditions

All and any amendments to the terms and conditions outlined in this submission must be provided in writing by the Client and signed by an authorised representative of Bespoke Presentations Ltd prior to the commencement of the work outlined in this submission.
